Welcome to Després & Co. By engaging our services (Web Management, Sales Funnels, and Technical Virtual Assistance), you agree to the following terms and conditions.

1. Scope of Services

Després & Co. provides technical and administrative support as outlined in your specific Service Agreement or Proposal. Any work requested outside of the initial "Scope of Work" will be subject to additional fees or a separate agreement.

2. Client Responsibilities

To maintain a Proactive Partnership, the Client agrees to:

  • Provide all necessary access (logins, API keys, etc.) in a timely manner.

  • Provide brand assets, copy, and creative materials required for project completion.

  • Respond to feedback requests within 48 hours to ensure project timelines are met.

3. Payment Terms

  • Project-Based Work: A non-refundable deposit of 50% is required to secure your spot in our calendar. The balance is due upon project completion or before the "Go-Live" date.

  • Retainer Services: Monthly fees are billed in advance on the 1st of each month.

  • Late Payments: Payments delayed by more than 7 days may result in a temporary suspension of services and a late fee of 5%.

4. Intellectual Property

  • Client Ownership: Upon full payment, the Client owns the final "outputs" (e.g., the finished website or funnel).

  • Provider Ownership: Després & Co. retains ownership of any proprietary processes, templates, or "base code" used to create the final product. We reserve the right to feature the completed work in our portfolio/social media unless a Non-Disclosure Agreement (NDA) is in place.

5. Data Privacy & Security

We take Operational Integrity seriously. Després & Co. will never share your login credentials or sensitive business data with third parties. We recommend clients use tools like LastPass or Dashlane for secure credential sharing.

6. Termination of Services

  • Project-Based: Either party may terminate the contract if the other party breaches the terms. Deposits remain non-refundable.

  • Retainer: Either party may cancel a monthly retainer with 30 days written notice.

7. Limitation of Liability

While we strive for perfection, Després & Co. is not liable for:

  • Loss of revenue due to third-party platform outages (e.g., Facebook, GHL, or hosting providers).

  • Errors caused by the Client or other third-party contractors hired by the Client.

  • Fluctuations in lead generation or sales, as these depend on market factors and client-provided copy.

8. Communication

Our official communication channels is Email. We observe "Work-from-Home" boundaries and will respond to inquiries within 24-48 business hours.
